Usage Agreement

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE SITE OR PURCHASING ANY MEMBERSHIP.

1. Introduction and Acceptance

Welcome to STR8UPDRIVEN ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website located at https://str8updriven.com (the "Website"), our community platform, educational content, tools, and any related services we provide (collectively, the "Service").

By accessing or using the Service, creating an account, or purchasing a membership, you agree to be bound by these Terms, our Privacy Policy, and our Usage Agreement. If you do not agree to these Terms, do not use the Service.

2. Definitions

  • "Member" refers to any individual who has registered for an account and/or purchased a membership tier.
  • "Content" refers to all educational materials, videos, documents, tools, and resources provided through the Service.
  • "Community" refers to our online community platform, discussion boards, and communication channels.
  • "Capital Funding" refers to the opportunity for approved Members to use STR8UPDRIVEN's capital for vehicle purchases, subject to approval.
  • "Commission" refers to the percentage of profit a Member may earn on approved deals funded by STR8UPDRIVEN.

3. Eligibility

You must be at least 18 years of age or the age of majority in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet this eligibility requirement.

4. Account Registration

To access the Service, you must create an account. You agree to:

  • Provide accurate, complete, and current information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, incomplete, or fraudulent.

5. Membership Tiers and Services

STR8UPDRIVEN offers the following membership tiers:

Tier 1: Bronze (Community Access)

  • Access to community boards
  • Eligibility for 25% commission on approved deals using STR8UPDRIVEN capital

Tier 2: Gold

  • Everything in Tier 1
  • Full access to STR8UPDRIVEN Academy course materials
  • Access to Goxee Dealer CRM
  • Access to Carfax, MMR, and KBB tools
  • Marketing content and templates
  • Eligibility for 50% commission on approved deals

Tier 3: Mentorship Package

  • Everything in Tier 2
  • One 30-60 minute 1:1 call with Tony
  • Access to Autoniq platform
  • Access to warm leads when available
  • Advanced marketing content
  • Eligibility for 50% commission on approved deals

Tier 4: VIP Package

  • Everything in Tier 3
  • 24/7 direct text access to Tony
  • Multiple days shadowing Tony at live auctions
  • Lunch with Tony and face-to-face mentorship
  • 100% commission on your first funded deal, then 50% thereafter

We reserve the right to modify, add, or remove features from any membership tier at any time.

6. Billing, Subscription, and Auto-Renewal

Monthly Subscriptions

When you purchase a monthly subscription, you authorize us and our third-party payment processor to automatically charge your payment method on the same day each month until you cancel. Your subscription will automatically renew at the then-current rate.

Annual Subscriptions

When you purchase an annual subscription, you authorize us and our third-party payment processor to automatically charge your payment method. Your subscription will automatically renew at the end of each 12-month period until you cancel.

One-Time Purchases

Tier 3 (Mentorship) and Tier 4 (VIP) may be offered as one-time purchases. Payment is due in full at the time of purchase unless a payment plan is offered and selected.

Price Changes

Prices may change at any time. If you have an active subscription, your rate will remain the same until your next renewal period, at which point the new rate will apply.

7. NO REFUNDS POLICY

ALL SALES ARE FINAL. NO REFUNDS WILL BE ISSUED UNDER ANY CIRCUMSTANCES.

By purchasing any membership or service from STR8UPDRIVEN, you acknowledge and agree that:

  • All purchases are non-refundable
  • No partial refunds will be issued for unused portions of any subscription
  • Chargebacks or payment disputes will be contested and may result in immediate termination of your account and access
  • You have reviewed and understand what is included in your membership tier before purchasing

If you are unsure whether a membership is right for you, we encourage you to contact us with questions before purchasing. Once a purchase is made, it is final.

Cancellation of Subscriptions

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

Your access will continue until the end of your current billing period. No refunds will be issued for the remaining time in your billing period. Auto-renewal will be stopped, and you will not be charged again.

8. Capital Funding and Deal Approval

STR8UPDRIVEN may offer Members the opportunity to use company capital to purchase vehicles for resale. This opportunity is subject to the following:

  • All deals must be submitted to STR8UPDRIVEN for review and approval
  • Approval is at the sole discretion of STR8UPDRIVEN or its designated managers
  • There is no guarantee that any deal will be approved
  • Commission percentages are based on your membership tier and are paid only on successfully completed, approved deals
  • STR8UPDRIVEN reserves the right to modify, suspend, or terminate the capital funding program at any time

You acknowledge that participation in the capital funding program does not guarantee any income, profit, or financial return.

9. Earnings Disclaimer

NO GUARANTEE OF INCOME OR RESULTS

The educational content, training, tools, and mentorship provided by STR8UPDRIVEN are for informational and educational purposes only. We make no representations, warranties, or guarantees, express or implied, regarding:

  • Your potential earnings or income
  • Your ability to achieve any particular results
  • The success of any vehicle purchase, sale, or transaction
  • The profitability of any deal

Your success depends entirely on your own efforts, skills, knowledge, market conditions, and many other factors beyond our control. Individual results will vary. Some Members may earn significant income; others may earn little or nothing. There is no guarantee that you will earn any money using our techniques, ideas, or strategies.

Any earnings figures, examples, or testimonials shared on our Website, in our marketing materials, or within the community are for illustrative purposes only and should not be interpreted as promises or guarantees of earnings.

YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Intellectual Property

All Content provided through the Service, including but not limited to videos, documents, templates, graphics, logos, and text, is the sole and exclusive property of STR8UPDRIVEN or its licensors and is protected by United States copyright, trademark, and other intellectual property laws.

You may not: copy, reproduce, or distribute any Content without written permission; modify, create derivative works from, or reverse engineer any Content; use any Content to create competing products or services; or remove any copyright, trademark, or other proprietary notices from the Content.

Your membership grants you a limited, non-exclusive, non-transferable license to access and use the Content for your personal, non-commercial educational purposes only, subject to the Usage Agreement.

11. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY; FITNESS FOR A PARTICULAR PURPOSE; NON-INFRINGEMENT; ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT; UNINTERRUPTED OR ERROR-FREE ACCESS TO THE SERVICE.

We do not warrant that the Service will meet your requirements, that the Service will be available at all times, that any errors or defects will be corrected, or that the Service is free of viruses or harmful components.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, STR8UPDRIVEN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

  • Direct, indirect, incidental, consequential, special, punitive, or exemplary damages
  • Loss of profits, revenue, data, or business opportunities
  • Personal injury or property damage
  • Any other damages arising from your use of the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO STR8UPDRIVEN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless STR8UPDRIVEN and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Service; your violation of these Terms; your violation of any third-party rights; any vehicle transaction you engage in; any content you submit or share through the Service; and any dispute between you and a third party.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to: violation of these Terms; fraudulent or illegal activity; abusive behavior toward staff or other Members; and chargebacks or payment disputes.

Upon termination: your right to access the Service immediately ceases; no refunds will be issued; we may delete your account and any associated data.

15. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Orange County, California. You consent to the personal jurisdiction of such courts.

16. Dispute Resolution

Before initiating any legal proceeding, you agree to first contact us and attempt to resolve the dispute informally. If we cannot resolve the dispute within 30 days, either party may proceed with formal dispute resolution.

You agree that any dispute shall first be submitted to mediation before any court action is initiated. The parties agree to participate in good faith in the mediation process.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Website with a new effective date.

Your continued use of the Service after any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and Usage Agreement, constitute the entire agreement between you and STR8UPDRIVEN regarding the Service and supersede all prior agreements and understandings.
