Usage Agreement

Effective Date: February 6, 2026

This Usage Agreement ("Agreement") governs your use of the content, materials, tools, and community features provided by STR8UPDRIVEN ("Company," "we," "our," or "us") through our website at https://str8updriven.com and related platforms (collectively, the "Service").

By accessing the Service or purchasing a membership, you acknowledge that you have read, understood, and agree to be bound by this Agreement. Capitalized terms not defined herein have the meanings set forth in our Terms of Service.

1. License Grant

Upon purchase of a membership, STR8UPDRIVEN grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Content provided through your membership tier for your personal, educational, and professional development purposes only.

This license is subject to the restrictions and conditions set forth in this Agreement and the Terms of Service.

2. Single User License

Your membership is for your individual use only. Each membership account is licensed to one (1) person.

You may NOT:

  • Share your login credentials with any other person
  • Allow others to access the Service using your account
  • Purchase a membership on behalf of multiple users
  • Transfer or assign your membership to another person

If you wish to provide access to others (employees, partners, etc.), each individual must purchase their own separate membership.

We reserve the right to monitor account activity and terminate accounts that show evidence of credential sharing or multiple users.

3. Permitted Uses

You MAY use the Content for the following purposes:

  • Personal learning and skill development
  • Building your own vehicle wholesale business
  • Submitting deals for approval through the STR8UPDRIVEN capital funding program
  • Using marketing templates and materials to promote your own vehicle buying business
  • Participating in community discussions and networking
  • Accessing tools (Goxee CRM, Carfax, MMR, KBB, Autoniq) as provided by your membership tier

4. Restricted Uses

You may NOT use the Content for any of the following purposes:

Content Distribution

  • Downloading, copying, or saving Content for redistribution
  • Sharing videos, documents, templates, or other materials with non-members
  • Posting Content on any public website, social media, or file-sharing platform
  • Creating compilations or archives of Content for distribution

Commercial Exploitation

  • Reselling, licensing, or sublicensing any Content
  • Using Content to create competing courses, training programs, or educational products
  • Offering consulting or coaching services that substantially reproduce our Content
  • Creating derivative works based on our Content for commercial purposes

Tool and Platform Misuse

  • Sharing access to Goxee CRM, Carfax, MMR, KBB, or Autoniq with non-members
  • Using tools for purposes unrelated to your vehicle wholesale business
  • Exceeding fair use limits on report generation or data access
  • Automating or scripting access to any tools or platforms

Community Misuse

  • Soliciting members for competing services or products
  • Spamming, harassing, or abusing other members
  • Posting inappropriate, offensive, or illegal content
  • Misrepresenting your identity or affiliation

5. Community Guidelines

As a member of the STR8UPDRIVEN community, you agree to:

Conduct

  • Treat all members and staff with respect
  • Keep discussions constructive and professional
  • Avoid personal attacks, hate speech, or discrimination
  • Respect differing opinions and experience levels

Content Sharing

  • Only share content that you have the right to share
  • Do not share confidential business information of others
  • Do not post advertisements or solicitations without permission
  • Give credit when referencing others' ideas or work

Privacy

  • Do not share personal information of other members without consent
  • Keep deal details and business strategies shared by others confidential
  • Do not screenshot or record private conversations for distribution

Compliance

  • Follow all applicable laws and regulations
  • Do not engage in or promote illegal activities
  • Report violations of these guidelines to STR8UPDRIVEN

Violation of community guidelines may result in warnings, suspension, or permanent termination of your membership without refund.

6. Intellectual Property

All Content provided through the Service is the sole and exclusive property of STR8UPDRIVEN or its licensors. This includes, but is not limited to:

  • Video courses and training materials
  • Documents, templates, and checklists
  • Marketing materials and graphics
  • Logos, trademarks, and branding elements
  • Software tools and platform features
  • Community discussions and posted content by STR8UPDRIVEN

The compilation and arrangement of all Content is protected by United States copyright, trademark, and other intellectual property laws.

Your membership grants you access to Content but does not transfer any ownership rights. All rights not expressly granted in this Agreement are reserved by STR8UPDRIVEN.

7. User-Generated Content

If you submit, post, or share any content within the community (comments, posts, images, videos, testimonials, etc.), you grant STR8UPDRIVEN a perpetual, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, publish, distribute, and display such content for any purpose, including marketing and promotional purposes.

You represent and warrant that: you own or have the right to share any content you submit; your content does not violate any third-party rights; your content is accurate and not misleading; and your content complies with all applicable laws.

We reserve the right to remove any user-generated content at our sole discretion.

8. Account Security

You are responsible for maintaining the security of your account. You agree to:

  • Use a strong, unique password
  • Keep your login credentials confidential
  • Log out of shared or public devices after use
  • Notify us immediately if you suspect unauthorized access

We are not liable for any loss or damage resulting from unauthorized access to your account due to your failure to protect your credentials.

9. Monitoring and Enforcement

STR8UPDRIVEN reserves the right to:

  • Monitor account activity for compliance with this Agreement
  • Investigate suspected violations
  • Take appropriate action, including warnings, suspension, or termination
  • Pursue legal remedies for violations of intellectual property rights

10. Termination of License

Your license to use the Content terminates automatically if: your membership expires or is cancelled; your account is terminated for any reason; or you violate any provision of this Agreement or the Terms of Service.

Upon termination: you must immediately cease all use of the Content; you must delete any downloaded or saved Content in your possession; you lose access to all tools, community features, and resources; and no refunds will be issued.

11. Modifications

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on the Website.

Your continued use of the Service after modifications constitutes your acceptance of the revised Agreement.
